This CLE is designed to prepare attorneys to represent newly forming charitable organizations in the process of incorporating and applying for federal tax exemption. Topics discussed will include the requirements for qualification as a New York State not-for-profit corporation and drafting by-laws for any new organization. In addition, the CLE will address the federal tax-exemption process, including the requirements of having a charitable purpose and serving a charitable class, the need to project specific revenues and expenses, and the limitations on lobbying and political activities. We will also review alternatives such as fiscal sponsorship arrangements, and ongoing registration and reporting requirements of not-for-profit corporations.
