Topics will include:
- Clearances of actual and positional conflicts;
- Whether a corporation (as opposed to an individual lawyer employed by the corporation) can represent a person or entity other than the attorney's employer;
- Identifying the pro bono client when a matter is referred by a legal services provider, and the implications for duties of loyalty and confidentiality;
- Whether engagement letters are required and/or advisable, and the appropriate contents for engagement letters;
- Unauthorized practice of law questions;
- Considerations for teaming arrangements with outside counsel;
- Advancing costs and expenses of pro bono clients;
- Confidentiality considerations (e.g., with respect to colleagues, the referring non-profit legal services provider, etc.);
- Recent modification to the New York Rules of Professional Conduct; and
- Update on the CT authorized house counsel rule.
