Morning session, 9:30 a.m. to 12:30 p.m.

Life Cycle of a Nonprofit Organization: Nonprofits form a safety net for New York City's most vulnerable residents. This session will provide an overview of the legal issues confronting nonprofit boards and managers as their organizations strive to sustain and grow programs. Topics include: corporate structure and the role of the board; IRS and NYS regulatory oversight of charitable corporations; and significant organizational changes such as amendment of purposes.

The morning session is transitional and provides 3.0 hours CLE credit: 1.5 professional practice, 1.5 skills credit.

First Afternoon Breakout Session, 1:30 p.m. to 3:00 p.m.

Affordable Housing Development: This program will address the structure of affordable housing projects and the steps involved when an equity investor leaves a low-income housing tax credit project and the project ownersthip is reorganized. The discussion will include how to form a housing development fund corporation and the HDFC's role in tax credit projects.

This session is transitional and provides 1.5 hours CLE credit: 1.0 professional practice, .5 skills credit.

OR

Debt Restructuring: This program will address the legal strategies that nonprofit organizations can deploy in order to reorganize their financial obligations, including out of court restructurings and filing for bankruptcy.

This session is transitional and provides 1.5 hours CLE credit: 1.0 professional practice, .5 skills credit.

Second Afternoon Breakout Session, 3:00 p.m. to 4:30 p.m.

Employment Law: This program will address important employment law issues encountered by nonprofit corporations in the current economic climate.

This session is transitional and provides 1.5 hours CLE credit: 1.0 professional practice, .5 skills credit.

OR

Ethical Issues in Pro Bono Representation: This program will address the attorney-client relationship, conflicts of interest, and board service in the context of pro bono representation of nonprofit corporations.

This session is transitional and provides 1.5 hours CLE credit: 1.5 ethics credit.

You will receive a total of 3.0 credits for attending two breakout sessions.
