As a member of the Panel on the Nonprofit Sector, and Executive Director of the Minnesota Council of Nonprofits, Mr. Jon Pratt, J.D., is one of the state’s (and nation’s) leading crusaders for good nonprofit governance practices. Mr. Pratt will provide context and background for the day’s program.

Federal Oversight of Nonprofit Corporations
For the first time since 1976, the IRS has issued a new, totally redesigned, IRS form 990. The new form (which is expected to be used for reporting upon the 2008 year) brings with it numerous legal implications for nonprofit organizations. Ms. Borenstein will review key parts of the new form in detail, and also will summarize the many developments emanating from Washington in the past year, including
a review of the IRS’ work in 2008.

Property and Sales Tax Exemption
On December 6, 2007, the Minnesota Supreme Court issued a ruling in a case involving the property tax exemption of Under the Rainbow Day Care, a nonprofit day care in Red Wing, Minnesota. The Court held that a nonprofit organization will not qualify for property tax exemption unless it provides goods or services free or at considerably reduced rates. This holding represents a clear departure from 30 years of previous case law in Minnesota and a significant narrowing of the property tax (and by extension sales tax) exemption available to many nonprofit organizations. Mr. Plunkett will describe the history and current status of the law of property and sales tax exemption in Minnesota.

The View from the Minnesota Attorney General’s Office
Ms. Bloodhart, Manager of the Charities Division of the Minnesota Attorney General’s Office, will give an overview of her office’s role in regulating nonprofit corporations, and highlight important actions taken with respect to nonprofit corporations in the past year.

The Uniform Prudent Management of Institutional Funds Act
It is expected that the Minnesota Legislature will adopt UPMIFA in 2008. Ms. Reedstrom-Bishop will provide a review of the law and explain its differences from the existing UMIFA law.

Nonprofit Political Activity and Lobbying
In 2007, the IRS released an important revenue ruling explaining the limits within which charitable organizations may participate in political activity. This session discussion will include a review of the federal and state regulations with respect to nonprofit participation in political activity and lobbying. Practical suggestions for representing nonprofits involved in public policy will be given.
